Terms and Conditions

1. About these terms

These terms are an agreement between you and Sampann Technologies LLP ("we", "us"). They cover your use of Perpetual AI: the app, the service and stayscloser.com. By creating an account or using Perpetual AI you accept them. If you don't accept them, don't use it.

2. What Perpetual AI is

Perpetual AI turns call recordings that your phone's own call recorder creates into transcripts, notes and commitments, and keeps a page for each person you speak with. Perpetual AI doesn't record calls itself. Whether your phone can record calls depends on your phone, its software, your carrier and your country. Features may change, and some are offered as beta features, which may be incomplete and may change or stop without notice.

3. Your account

You must be 18 or older. Give us accurate information, keep your sign-in secure, and tell us promptly if you think your account has been misused. You're responsible for activity under your account.

4. Recording and consent

Some laws require every person on a call to consent to recording, and some require notice. You're responsible for complying with the laws that apply to you and the people you speak with, including telling people you're recording and getting their consent where it's required. Don't record calls where it isn't allowed. Use Perpetual AI's contact controls to limit processing to people you're permitted to record. We may limit or disable features if we believe they're being used unlawfully. Perpetual AI doesn't give legal advice.

5. Your content

You keep ownership of your content: your recordings, the transcripts and notes made from them, and your contact information. You confirm you have the right to upload it. You give us a limited, non-exclusive, worldwide licence to host, process and use that content only to provide Perpetual AI to you and as described in our Privacy Policy. We own Perpetual AI, including its software, design and brand. If you send us feedback, we may use it without obligation to you.

6. AI output can be wrong

Transcripts, summaries and commitments are produced by AI and by speech recognition, which can miss or mishear words, names and numbers. Check anything important against the original before you act on it. Don't rely on Perpetual AI as the only record of an agreement.

7. Acceptable use

Don't use Perpetual AI to break the law or anyone's rights; to record or monitor anyone in a way the law doesn't allow; to harass, stalk or deceive people; to interfere with or overload the service; to probe, scan or test its security without our permission; or to share your account. Don't reverse engineer Perpetual AI except where the law allows it.

8. Fees

Perpetual AI may be free, or may offer paid plans. If we introduce fees we'll tell you the price and get your agreement before you're charged. If you buy through Google Play, Google's payment terms and refund rules also apply. Fees include taxes only where we say so.

9. Third-party services

Perpetual AI relies on services such as Google Play. They're governed by their own terms. We don't control them and aren't responsible for them.

11. Suspension and ending

You can stop using Perpetual AI and delete your account at any time (see https://stayscloser.com/delete-account). We may suspend or end your access if you breach these terms, if we need to for security or legal reasons, or if we stop offering Perpetual AI, and we'll give reasonable notice where we can. When your access ends, we handle your data as the Privacy Policy describes. Sections 5, 12, 13, 14 and 15 continue after your access ends.

12. Disclaimers

Perpetual AI is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the service will be uninterrupted or error-free, that recording will work on your phone, or that AI output will be accurate.

13. Limits on liability

To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for claims relating to Perpetual AI is limited to the greater of the amount you paid us in the 12 months before the claim and INR 5,000. Nothing in these terms limits liability that can't be limited by law.

14. Indemnity

To the extent the law allows, you'll defend and indemnify us against third-party claims arising from your breach of these terms or the law, including unlawful recording.

15. Governing law

These terms are governed by the laws of India, and the courts of Kanpur, Uttar Pradesh have exclusive jurisdiction, except where the law of your country gives you the right to bring claims elsewhere.

16. Changes to these terms

We may update these terms. For material changes we'll give notice in the app or by email before they take effect. If you keep using Perpetual AI after that, you accept the updated terms.

17. General

These terms and the Privacy Policy are the whole agreement between us about Perpetual AI. If a part is unenforceable, the rest stays in effect. You can't transfer your rights without our consent. We may transfer ours in connection with a merger or sale. Not enforcing a right isn't a waiver of it.
